its official..... under-drive clutch was smoked! now to test to figure out why! I'll get back to you on that in when we figure it out.....but till then pics of the transmission:

Verdicts In
It was a faulty Solenoid Pack and Governor Pressure Sensor that caused damage to the under-drive clutch. Also the 2nd clutch was in pretty bad shape!! its being rebuilt with all updated parts that are suppose to be better made and high heat resistant!

74k miles is all....trans pan dropped, new filters and fluid every 25k miles!

Matter of fact I have the filters and fluid sitting in my garage becaus I was going to do service this week while I am on vacation.

So I've had my truck back with the re-built trans and an up-graded TC for a few days. I've got to say it drives better than the day I bought it! I am so happy with it at this point, although I haven't been able to get on it yet as per the trans mans directions not to lay into it hard until 500 miles. He said the clutches need to be broke in first. Just a FYI for anyone that was wondering!
