Default How company distinguishes between brand and company ?

This is very basic question but by no means I know anything about brands !. e.g I heard the news recently that talks on going on for takeover of Cadbury, let us imagine that happens , then Cadbury as brand would continue to exist ? I know certain other cases like General Motors is company and Holden , Chevrolet are brands owned by them. But the cases in which name of the company and brand are same, whether the company registers the brand in it's name ? Sorry for stupid question !
