By 2nd Gen you mean a 1997-2004?
I think at worst you'd need to redo the mounting holes - the back aren't a big problems (big fender washer underneath to brace), the front is a big more twitchy since in 1988 they only have the small triangles (instead of the cross brace). However, I THINK ( am not sure, measure twice at least!) that the 97-04 seat will bolt right in. Do measure on your own, though.
(If by 2nd Gen you mean 1991-1996, a common mistake, yes, it'll bolt right in, since those years are also 1st gen.)
