Default Transmission "Slips" During Downshift

I have a 1996 Chysler Interpid 3.3L with 60,000km.

Heres the Problem:

What happens is the transmission goes to make the downshift and cant seem to decide what to do. I loses connection, it connects, loses connection again and then connects into the lower gear.
When I allow the rpm to drop to (1100-1400 and 65-75KPH), such as coming off a flat grade and onto a hill, in D the car the trans slips on before downshift.
I am fairly certain that the torque converter is locked in when this occurs.
It only occurs with continuous throttle input, When I floor it, the trans shifts very smoothly.
I noticed the problem at 55K and had the trans fluid change, no codes, no engine lights and used the correct fluid.
I drive the same route everyday and am able to replicate the problem it I want to.

One good thing is I was able to eliminate the problem by driving harder up the hill and thus forcing the rpms to stay in the 1500-1700 range or by putting the car in 3, but this is very bad for my fuel economy and likely only temporary.

My thinking is that it is the TC lockup that is not allow the trans to sync with the engine during these situations. I do not think it is due to overheating because it happened in -10 C and the stress on the tranny before its occurance is minimal, (steady cruising on flat ground with little throttle).

Any thoughts would be appreciated.
