2001 transmission

2001 transmission
Greetings everyone!
I have a 2001 3.9 with automatic trnasmission with about 74k miles.
The problem I am having is the transmission is slipping out of gear or more like "disengaginig", but when it is running the over-drive light will come on, trans goesout ofover-driveand I cannot get the over-drive to re-engage by pushing the OD button. I have replaced the fluid and filter.
What else can I do? The dealer said there is a govenor and a sensor inside the bottom of the trans. Could one of these be the problem?
