What the?... 80% of the 1st gens were SOHC. Same engine. More importantly, same head (well, all 1st gens had an EGR setup...). If you have the magnum engine (2nd gen ACR or R/T), it's a similar head, but the exhaust ports are raised and significantly larger, so a 1st gen header would be a downgrade from the stock exhaust manifold...
A 1st gen SOHC header will physically bolt up to a 2nd gen head with no problem (they are the same casting after all). Connecting it to the rest of the system may be an issue, depending on how long the header is. A shorty header, like the PaceSetter, shouldn't be much of a problem. The angle that the piping takes is a little different between the 2nd gens. The longer the header, the more trouble you're going to have connecting it to the downstream piping... The 1st gens used a 3-bolt connector between the stock exhaust manifold and the cat, where the 2nd gens went to a 4-bolt setup. Just a matter of cutting and welding... A longer header (Kirk, BDMS, etc.) is definitely going to have fitment issues.
In most cases, it'll be easier and cheaper to just use a header designed for a 2nd gen. But if you've got the time and skills to make it work, and have happened across a 1st gen header at a great price, then give it a shot. Post pics...
