Default My Exhaust Plans...will it work?

Hey guys, I have a 1999 5.9L Dodge Ram......so this is the muffler I want in place of the stock muffler.

This muffler should work right? The inlet and outlet should be ok is my biggest question. Also with the dual outlet I can run the 2nd pipe around the spare tire? or do I have to remove the spare due to heat issues? Anyone have some good pictures? Do I need any sort of Y-pipe that everyone talks about?

Also, in front of the muffler I want to install this cat.

It looks like a direct fit and pretty easy install. This should work correct? Also I notice it has the O2 sensor holes, will the computer in the truck relearn after so many miles?

Thanks all for the responses.
