Default Tranny Down Shift

I've read a lot of posts about tranny problems but this is a bit different. 2005 SLT Dakota 4wd auto trans - about a year ago it started down shifting to 2 gear and staying there - I had the selenoid pack replaced - all worked gread. Now about a year later - while traveling between 35 and 45 mph (sometimes faster) it trys to down shift but then shifts back rapidly (feels like I'm driving on a wash board tach increase also) - this continues until I let off on the gas. No CEL. Truck drives fine for a minute or two than back to the down shift.

Just got the truck back for the shop - they want $2500 to rebuild the tranny. They said that the tranny is starting to slip.

Any ideas?

Thanks

When's the last time the transmission fluid was changed?
And were the filters changed too?

These trucks like OEM filters.
