Both questions are correct. When the lid is locked, you can not open the tailgate. The OEM rails stay in place and are not affected by the cover.

I looked on line and found the undercover for under 700.00 delivered. Installation seems really easy too.

Awesome. I'm sold. Great way to keep shirts safe & dry.... And I don't have to buy the locking tailgate, which makes it cheaper than the BakFlip. The BakFlip is more functional, but I like the look of the Undercover better.
