Default 05 3.5L Magnum

Hey Guys,
Been off- line for a while but wanted to ask a question in regards to a spark plug change.

I recently changed the plugs and when I took off the cover (the one that covers the three right hand side) I noticed that there was a foam-like gasket under the cover and it is between the cover and the top of the engine.

My question is..does that foam-like gasket have to be replaced. Mine was sort of broken and ragged out. Does this gasket seal anything? I didn't replace it when I put the cover back on. Just wanted to make sure it actually serves and real purpose. Thanks in advance for any help on this.

That foam piece is just for noise dampening. It doesn't really do anything.
