what could it be?? Possible siezed engine.
Check out, for example, http://www.transmissioncenter.net/dodge.htm about 7/8 of the way down the page -- or to get to it more easily, search that page with your brower's "Find" feature for Remote Automatic Transmission Filter Kit. I've got mine on the right (passenger side) fender well, out of harm's way, easy to reach.
Stuff one of those on there, along with a pan with a drain plug, and you can leave the pan on until it's band adjustment time. And only replace the internal filter when it's so old that decomposition becomes a concern. I'll be swapping mine out every 100,000 miles, but I wouldn't worry about decomposition before 15 years or 250,000 miles.

Its some different valves and springs for the valve body. Part of the install is also drilling a small hole, so that the torque converter gets charged with the trans in park. It smooths shifts, and eliminates some of the TCC shudder than folks experience.
Basically, it's a 'shift improver kit'.

You're welcome! Yes, #76D is the one you'd want.
Yep, sure does.
Ouch. Drilling the valve body (line to lube bleed) is really the worst way to go about it. Twenty bucks will buy a modified manual valve that does the trick just fine and doesn't lead to drainback problems.
