From what you've described, it's likely a goner.

ok so i picked up a decent used one 140 000kms on it, i rolled er in the shop last night, so in short what the best process for removal of old one, I assume something like this

battery
starter
exhaust
BH bolts
torque conv bolts
driveshafts
T-case
connections
crossmember
and drop tranny

does the cross member need to come out, any tips would be great as im starting in about 3 hrs when i get off work

Crossmember under rear of tranny has to come out. It will not come down, has to go to rear then down. Remove crank sensor (behind right head) first, and reinstall it last. There are several good rebuild threads here on DF. Check DIY area.

Also, download the service manual in FAQ/DIY section. It is a very good step by step for rebuild.

Good luck. (If I can do it - anyone can do it!)

job done succesful, only issue was exhaust bolts but we took care of them, thanks guys, My only question, is. I thought it would go away with the new tranny but it is still happeneing, when i shift the truck it is shifting slow, that little red indicator line that showes what gear your in is moving waaaaay slower than the actual shift lever, any thoughts on this???

Check the shift lever linkage. If it got bent it could do that.

ok, i dont want any "I told ya so's".

my new used tranny is super slo to engage into drive or reverse when the weather is cold, but if i park in my heated shop its fine. What could that be. and by slo i mean i gotta wait like 30sec for it to engage, but once it does it drives fine.

Does it have enough fluid? Any water in the fluid? Otherwise, sounds just like a cold tranny.
